iMasons Climate Accord (“ICA”) is a project of Infrastructure Masons, Inc., a 501(c)(6) tax-exempt nonprofit corporation, whose members consist of organizations in the digital infrastructure industry, dedicated to emissions reductions. Organizations separately join ICA as Members by paying annual dues and agreeing to the ICA Terms and Conditions. Our members make the activities of the ICA possible. ICA is governed and operated in accordance with its current Charter.
Please read and accept the following membership terms as acknowledgement of and assent to our membership agreement, which includes the attached Membership Standard Terms and Conditions (the “
Membership Agreement”):
DUES: Under the guidance and leadership of the ICA Executive Director and Governing Body, ICA Member dues will be allocated appropriately to programming, publications, and operations of the ICA. During a calendar year, the dues may be allocated at the sole discretion of the Executive Director to alternative programs and initiatives of the ICA; and any large-scale changes will be communicated to membership in a timely manner.
TERM: The initial term of membership shall commence as of the date of your delivery of these Terms and Conditions and payment of the initial Annual fee and terminate on the one-year anniversary thereof, or in the case of a two-year commitment the two-year anniversary thereof (the “
Initial Term”). Subsequent to the Initial Term this Membership Agreement may be extended and renewed as provided for herein, unless subject to earlier termination as may be provided herein or in the Standard Terms and Conditions (the “
Term”).
ANNUAL DUES: Either upon delivery of these Terms and Conditions or upon Member organization’s earlier request, ICA will deliver an invoice to the Member organization for the initial annual fee. Member shall pay the annual dues amount associated with its class of ICA Membership. The terms of payment of the initial annual fee are forty-five (45) days after Member’s receipt of the invoice. ICA may condition the commencement of Member benefits upon receipt of the initial Annual fee, or in the case of a 2-year commitment upon the receipt of the applicable 2-year fee.
While the annual fees for some ICA membership tiers include the cost of the number of
individual iMasons memberships (as indicated in Exhibit A to the
Standard Terms and Conditions), it
does not result in the party becoming an iMasons corporate partner. A separate agreement is required to become an
iMasons corporate partner.
EXTENSIONS/RENEWALS: At the end of the Initial Term, the Membership Agreement will be automatically renewed and extended for an equivalent length of time as the Initial Term, with no additional action required by either party. If Member does not wish to renew and extend this Membership Agreement for an additional term the Member must (i) provide notice to ICA of its intent to not renew no less than sixty (60) days prior to the anniversary date of the Initial Term or any subsequent renewal term.
At the time of renewal and extension, the payment of applicable ICA Annual Membership Dues will be billed ten (10) days prior to the anniversary date of the original Effective Date hereof; notwithstanding the above, payment by organization of applicable renewal Member Fees will constitute its intent and agreement to renew this agreement for an additional term. The individual initializing and delivering the Membership Agreement is doing so on behalf of their Member organization and attests that they are duly authorized by their Member organization to enter into this Membership Agreement and bind the Member organization.
